PBATS Signs MOU With University of St. Augustine

  1. (1)  The University of St. Augustine for Health Science (“USAHS”): a US regionally accredited university offering campus and online masters and doctoral degrees and professional development courses, with their main headquarters located at 700 Windy Point Dr. San Marcos, CA 92069.
  2. (2)  Professional Baseball Athletic Training Society (“Partner Organization”): with an address at 2970 Clairmont Road, NE, Suite 575, Atlanta, GA 30329.

USAHS and Partner Organization agree to cooperate in the promotion, facilitation and implementation of a program which allows all eligible members of Partner Organization (“Candidates”) to receive a certain tuition reduction (see Partner Tuition Rate) in their pursuit of higher education through any of the included online USAHS degree programs (see list of programs below).

Partner Tuition Rate

The Partner Tuition Rate offered to Partner Organization’s Candidates is a 15% tuition reduction on all the online degree programs listed below. The Partner Tuition Rate is applicable to tuition only and does not apply towards books, materials, residencies and related travel, and other supplies or fees needed for any individual course. The Partner Tuition Rate tuition reduction will remain in effect for the duration of the student’s continuous enrollment at USAHS.* All candidates that are current USAHS students are eligible for this Partner Tuition Rate from the Effective Date of this MOU, provided, however, no tuition reduction will be made retroactively.

USAHS may change the Partner Tuition Rate offered hereunder for any calendar year by providing Partner Organization with written notice by December 1 prior to such calendar year, with the new rate taking effect on January 1. For the avoidance of doubt, such change would not affect the rate for Candidates who are currently enrolled at USAHS and using the existing Partner Tuition Rate, regardless if the Rate increases or decreases.

*Students may take one official Leave of Absence per the USAHS catalog in effect upon their matriculation and retain the Partner Tuition Rate. Students must speak with a Student Advisor to understand the minimum number of credits required per term and the definition of Satisfactory Academic Progress.

USAHS Online Degree Programs

The degree programs included in this MOU are as follows: o Master of Science in Nursing (MSN)

o Doctor of Nursing Practice (DNP)
o Master of Health Administration (MHA)
o Master of Health Science (MHS)
o Doctor of Education (EdD)
o Transitional Doctor of Physical Therapy (tDPT)
o Post-Professional Doctor of Occupational Therapy (ppOTD)

General Roles and Responsibilities

USAHS and Partner Organization will each provide the support listed below as part of the MOU. The cost of the below responsibilities will be incurred by the party that is responsible for executing it, unless otherwise discussed and agreed upon, in writing, between the two parties. There will be no cost sharing or expense transferred between the parties for their respective responsibilities.

USAHS will provide:

o DedicatedAccountRepresentative.
o Reasonable efforts to establish mutually-agreeable communication plan regarding the

Tuition Benefit within 30 days of the Effective Date.
o Virtual or In-person information session(s) outlining (a) features, benefits and overall information regarding USAHS degree programs; (b) inquiry and admissions process for

Candidates.
o Regular reporting of enrollment activity to Partner liaison.
o Ongoing notice to Partner Organization of additional degree program offerings that may be available to candidates.
o USAHS will not use the PBATS or Major League Baseball logo, tradename or other

intellectual property owned by such parties without the express written consent of PBATS.

Partner Organization will provide:
o DedicatedPartnerLiaison.
o Reasonable efforts to establish mutually-agreeable communication plan regarding the

Tuition Benefit within 30 days of the Effective Date.
o Provide USAHS with regular site access for information sessions, if applicable, at PBATS sole discretion.
o Guidance to interested Candidates to dedicated inquiry channels provided by USAHS. o Distribute mutually-agreed upon messaging, publicizing the Tuition Benefit.

**All Partner Organization communications relating to USAHS will be provided to USAHS for review and approval prior to company dissemination.

Benefit Eligibility

Candidates must inquire through the marketing and information channels provided by USAHS to Partner Organization in order to obtain the Partner Tuition Rate. Failure to facilitate communication through these channels may result in Candidates not being eligible for the tuition reduction.

Admissions and Student Information

This MOU is not a guarantee that all Candidates of Partner Organization will be granted acceptance or admission into USAHS. All prospective Candidates will be subject to the same standard admissions and registration processes as all the other prospective students applying to USAHS. Candidates must present proof of membership along with the application. No student-specific information will be shared between USAHS and the Partner Organization unless the Candidate grants permission in writing.

Billing

USAHS will bill each Candidate directly for tuition and fees, unless otherwise agreed upon, in writing, between the two parties.

Term and Annual Renewal

This MOU shall be in effect for a one (1) year period commencing on the Effective Date and will renew automatically for successive one (1) year periods, unless terminated by either party, without cause, upon ninety (90) days written advance notice to the other party. In the event the MOU is terminated, any Candidates then enrolled in USAHS shall continue to receive the Partner Tuition Rate as outlined in this MOU.

Governing Law

This MOU will be governed by and interpreted in accordance with the laws of the State of California.

Counterparts

This MOU and any amendments hereto may be executed in counterparts and all such counterparts taken together shall be deemed to constitute one and the same instrument. The parties agree that delivery of an executed counterpart signature hereof by facsimile transmission, or in “portable document form” (“pdf”) form, or by any other electronic means intended to preserve the original graphic and pictorial appearance of a document, will have the same effect as physical delivery of the paper document bearing the original signature.
